This End-User License Agreement (“Agreement”) is a legal agreement between you (“User,” “You,” or “Your”) and Readybuild, LLC, a Missouri limited liability company (“Readybuild,” “We,” “Us,” or “Our”), governing your access to and use of the Readybuild web-based software platform, related mobile applications, APIs, integrations, and associated services (collectively, the “Software” or “Service”).
By accessing or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not use the Software.
1. License Grant
Readybuild grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your internal business purposes in accordance with this Agreement and any applicable subscription terms or order forms.
2. Restrictions
You shall not:
- Copy, modify, or create derivative works of the Software;
- Reverse engineer, decompile, or attempt to derive the source code;
- Rent, lease, sell, sublicense, or distribute the Software;
- Use the Software for any unlawful purpose or in a manner that infringes any third-party rights;
- Circumvent or disable any security or access controls.
3. User Accounts and Data
You are responsible for:
- Maintaining the confidentiality of your account credentials;
- Ensuring that all information provided is accurate and up to date;
- All activities occurring under your account.
You retain ownership of your data entered into the Software (“Customer Data”). Readybuild may process, store, and analyze Customer Data solely to provide and improve the Service, in accordance with the Readybuild Privacy Policy.
4. Integrations and Third-Party Services
The Software may integrate with third-party services (e.g., QuickBooks, Sage, Google, etc.). Your use of those integrations is subject to the terms and privacy policies of those providers. Readybuild is not responsible for third-party services and disclaims all liability arising from their use.
5. Intellectual Property Rights
All rights, title, and interest in and to the Software, including all updates, enhancements, and derivative works, are owned by Readybuild or its licensors. Except for the limited license granted herein, no rights are transferred to you.
6. Confidentiality
You agree to maintain the confidentiality of all non-public information disclosed by Readybuild, including system designs, pricing, and feature roadmaps.
7. Fees and Payment
Access to the Software may require a paid subscription. Fees, payment terms, and renewal policies are defined in your subscription agreement or order form. All fees are non-refundable unless otherwise stated.
8. Termination
Readybuild may suspend or terminate your access if:
- You breach this Agreement;
- You fail to pay fees when due; or
- Readybuild discontinues or modifies the Software.
Upon termination, your license immediately ceases, and you must stop using the Software. Readybuild may retain Customer Data as required by law or for legitimate business purposes.
9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” READYBUILD MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. YOUR USE OF THE SOFTWARE IS AT YOUR OWN RISK.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, READYBUILD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE. READYBUILD’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Readybuild and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Software or your breach of this Agreement.
12. Updates and Modifications
Readybuild may modify or update this Agreement from time to time. Continued use of the Software after such changes constitutes acceptance of the revised Agreement. The most current version will always be available at www.readybuild.com/legal/eula.
13. Governing Law
This Agreement shall be governed by and construed under the laws of the State of Missouri, without regard to its conflict of laws principles. Any dispute shall be resolved in the state or federal courts located in St. Louis County, Missouri.
14. Miscellaneous
- This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings.
- If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
- Failure by Readybuild to enforce any right shall not constitute a waiver.
- You may not assign this Agreement without Readybuild’s prior written consent.
